This version applies to contracts made from 13 October 2026. Changes to existing contracts follow clause 9.4.
1 Introduction and definitions
1.1 Agreement. These terms govern PhotoUpload, operated by SJC Designs Online Ltd (“we”, “us”). You accept them when you create a gallery, start a trial, subscribe or buy. A paid contract begins when we confirm your order, and the description, allowances and price shown before you buy form part of it.
1.2 Our products. A “Guest Upload Gallery” lets guests add photos and videos by QR code or link. A “Client Gallery” lets a business deliver finished photos to a client, or run proofing, where the client picks favourites from watermarked previews before the finished photos are delivered. A “personal gallery” is one Guest Upload Gallery for your own event, managed with the email address used to order it and that gallery’s own access code. A “Business account” is a subscription for businesses, managed in Studio, our business dashboard.
1.3 People and Content. “Host” means the person or business managing a gallery. “Guest” means anyone invited to upload to, view, like, pick from or download from a gallery, including a business’s clients. “Team member” means someone a Business account owner invites to Studio. “Content” means photos, videos, audio and related information supplied by users. “Service” means our gallery services.
1.4 Consumer status. You are a consumer if you act wholly or mainly outside your trade, business or profession; otherwise you are a business customer. Product names do not decide or remove consumer rights.
2 Eligibility and user responsibilities
2.1 Authority. You must be legally able to enter the contract and authorised to act for any business you represent. Keep your contact and payment details accurate.
2.2 Security. Keep passwords, access codes, PINs and live screen controller links private, and tell us promptly about suspected unauthorised access. You are responsible for people you authorise, but not for a security failure caused by us.
2.3 Host responsibilities. Hosts decide who gets access, must have the right to share Content and the contact details they give us, and must deal with misuse they become aware of. Businesses must give their clients and guests appropriate privacy information.
2.4 Teams and branding. Team members act within the permissions Studio gives them. Only the account owner can manage billing, business settings, cloud backup and the team, delete or restore galleries and close the account; do not share owner sign-in details to get around this. A business’s branding, custom domain and contact details do not change who operates the Service or the data-protection roles in section 7.
3 Services and acceptable use
3.1 Scope. We provide the features and allowances described for your plan or subscription. You need internet access and a compatible browser; guests and clients do not need an app or account. Gallery access depends on its dates, settings and, for Business accounts, payment status.
3.2 Prohibited use. Do not upload unlawful, infringing, defamatory or non-consensual intimate material, child sexual abuse material, malware, or music or other material you have no right to share. Do not use the Service for harassment, fraud, spam, scraping, bypassing restrictions or disrupting systems. Do not use Content or platform material obtained through the Service for AI-model training, dataset creation or similar secondary use without express permission from the rights holders (including us, for platform material) and any other authorisation the law requires; a gallery being accessible is not permission. Reverse engineering is prohibited except where the law allows it.
3.3 Enforcement. We may remove Content or restrict access where reasonably necessary to deal with a breach, a legal obligation or a security risk. Where practicable we will explain why and let you resolve the issue first; urgent action may be taken without notice. You can challenge decisions through support.
3.4 Reporting Content. Use the report option on an image, or email support@photoupload.app naming the gallery or item and your concern. Reports come to PhotoUpload, not the gallery owner, and we keep your identity private unless the law requires disclosure. Do not copy or forward suspected illegal images. A report is not a finding of wrongdoing and does not automatically hide an image; we may restrict access while we investigate.
3.5 Security checks and copies. Uploads may be scanned for malware before they are processed or shown, and files that fail may be rejected or removed. We remove location data and camera or lens serial numbers from uploaded photos and videos, keeping the capture date and time and copyright and credit details. We also make previews, download copies and watermarked proofs. The Service is not a bit-for-bit archive, so keep your own source files.
3.6 Access and features. Galleries are unlisted, but anyone with the link or QR code can open them. Paid personal plans and Business galleries can add a PIN, which controls access but does not identify visitors. Depending on plan and settings, guests can add names, captions and likes, and Hosts can use categories, insights, slideshows, client emails and the live screen (photos shown on TVs paired through slidelink.app, run from a private controller link). A business’s own uploads stay hidden from guests until published. Likes are not proofing picks, approval, permission to reuse Content or consent to marketing. Client emails go in the business’s name to the recipients it enters. Closing a gallery does not recall copies already downloaded or exported.
3.7 Connected services. You can sign in with Google, back up galleries to Google Drive or OneDrive, and let guests and clients save files to their own Google Drive or OneDrive. Their terms apply to copies stored there, and pausing, disconnecting or deleting here does not remove files already copied.
3.8 Security records and preservation. We record upload and download requests and keep reports, moderation actions and restricted evidence where necessary and lawful to investigate misuse, meet legal duties or protect legal rights. A preservation hold may keep specified evidence beyond normal deletion dates; it does not keep a gallery available or give a right to restore it. We do not promise that all Content is screened or all misuse detected.
4 Storage and data retention
4.1 Personal gallery dates. Guest uploads open 14 days before the event date, or when setup is complete if later. The free Snapshot plan allows uploads for up to 7 days after the event and keeps the gallery open for one month from the event date. Paid plans allow uploads for up to 30 days after the event, keep the gallery open for up to three months, and include once each 7 more days of uploads and one more month to view and download, used while the gallery is open.
4.2 Personal gallery allowances. A full photo allowance closes guest uploads until you upgrade or buy a top-up; a full video allowance stops only videos. On paid plans, guests can keep uploading over the allowance on the event day until noon the next day, unless the gallery was already full before the event day. Nothing is deleted, and viewing and downloads continue.
4.3 Business gallery dates. Business galleries follow the gallery cycle set in Studio, and any gallery’s dates can be changed. A gallery closes on its closing date, stays closed for the period chosen (up to 60 days) and then moves to Recently deleted. A Client Gallery that has not been shared closes after 60 days without a change or upload. Trial expiry, cancellation and non-payment can bring these dates forward under section 5.
4.4 Recently deleted. A gallery that is deleted, or reaches the end of its dates, stays in Recently deleted for 30 days, where nobody can open it. A personal gallery can be restored as it was. A business gallery can be restored in Studio while the subscription is active and any overdue invoices are paid; it comes back closed. Afterwards, Content is permanently deleted from the live service and cannot be recovered.
4.5 Asking the host. A closed or deleted gallery’s page offers visitors a Message the host button, alongside a business’s public contact details if it has added them. The first message sent while a gallery is in Recently deleted keeps it for 30 more days; this happens once, and later messages do not add more time. Only the Host can reopen or restore a gallery. PhotoUpload cannot reopen or restore a personal gallery on anyone’s behalf.
4.6 Permanent deletion of files. Deleting a single photo or video is permanent straight away. Once a client’s picks are confirmed and delivered, the business can delete the unpicked (unselected) proofing photos and their copies; picks and videos are kept. This cannot be undone. Unpicked photos are not deleted automatically when choosing closes.
4.7 Your copies. Keep your own copies of important Content; the Service is not permanent archive storage. This does not exclude our liability for our own failures.
5 Fees billing and cancellation
5.1 Prices. Prices, allowances and any applicable taxes are shown on our website and at checkout before you pay. You authorise the charges you agree to, including recurring ones.
5.2 Personal galleries. The Snapshot plan is free. Paid plans are a one-off payment for one gallery. You can upgrade before or after the event and pay only the difference; the link and QR code stay the same. On the largest plan you can buy top-ups of extra photos or videos, which do not change the gallery’s dates. Coupons do not combine with other offers; you get the better price.
5.3 Business free trial. A Business account starts with a 7-day free trial with every feature and up to 250 MB of storage. No card is needed, it never becomes a paid subscription by itself, and uploads stop at the storage limit until you subscribe. If you do not subscribe before the trial ends, your galleries close for 7 days and then move to Recently deleted. Each account has one trial.
5.4 Monthly billing in arrears. Nothing is charged when you subscribe. At the end of each billing month you are billed, like a phone bill, the price for the highest storage band your account reached that month. Deleting files lowers later months, not the current one. Above the top storage band (currently 2 TB), the top-band price applies. Every feature is included at every storage level.
5.5 What counts as storage. Original photos and videos, download copies, watermarked proofs, unpublished business uploads and closed galleries count. Small previews do not, and nor do galleries in Recently deleted unless restored. Usage in Studio shows what is using space.
5.6 Locked-in prices. Your prices when your subscription starts stay the same while it continues, even if ours change. Subscribe before your trial ends and you keep the prices from when it started. If you return after a subscription ends, the prices at that time apply.
5.7 Offers and credit. Launch offers, coupons and account credit follow the conditions shown when offered. Credit has no cash value and does not replace any refund due by law.
5.8 Custom domain. A custom domain is an optional add-on, charged monthly on the same bill, that needs an active subscription. If added part way through a billing month, the first charge covers only the days left. Disconnecting a domain does not cancel the add-on; cancelling it follows clause 5.11.
5.9 Accounts billed in advance. Some older accounts are billed at the start of each billing month for the highest band reached in the previous month. If such an account cancels, any difference for a higher band reached in its final month is invoiced separately and uploads are limited to the band paid for. Studio Billing shows which method applies, and any amounts before you confirm.
5.10 Failed payments. If a payment fails, we may retry it. Counting from the first failure: after 1 day you cannot create galleries; after 7 days all uploads, including guest uploads, stop; after 14 days galleries are unavailable to visitors and management is blocked, apart from Billing and support. Paying in full restores the same subscription. If the amount is still unpaid at the end of the billing month in which the payment first failed, the subscription ends and its galleries move to Recently deleted; to restore them you must pay what is owed and start a new subscription. Debts remain payable after deletion.
5.11 Cancelling a Business subscription. You can cancel at any time in Studio Billing, with no fee. Cancellation takes effect at the end of the current billing month, or at the end of the following one if you cancel less than five minutes before the month renews. Everything works until then, and your final bill is for the highest storage reached in that month. Billing shows the end date and which galleries will get new dates before you confirm, and you can keep the subscription until then. When it ends, galleries move to Recently deleted. Stopping use does not cancel a subscription.
5.12 Consumer cancellation rights. Consumers may cancel within 14 days after the day the contract is made by sending a clear statement to the contact in section 10. If you asked for the service to start straight away, we may charge a proportionate amount for service already supplied where the law allows. The right ends on full supply only where you gave the required express request and acknowledgement. Creating a gallery does not by itself remove the right.
5.13 Refunds and remedies. Statutory cancellation refunds are paid within 14 days of your notice, to the original payment method unless agreed otherwise, without a fee. Otherwise, cancelling does not normally give a refund for a partly used period. Consumers keep their legal remedies where a service is not supplied as described or with reasonable care and skill, including repeat performance or a price reduction.
6 Intellectual property and content rights
6.1 Ownership. You or the relevant rights holder keep ownership of Content; we claim no ownership of uploaded photos or videos. Our software, branding and platform material remain ours or our licensors’.
6.2 Service licence. You give us a non-exclusive, worldwide, royalty-free licence to store, copy, process, display and transmit Content only as needed to provide the Service, the sharing you authorise and the retention in these terms. We will not use your Content in advertising without separate permission.
6.3 Infringement reports. Email support@photoupload.app identifying the Content, your rights, the alleged infringement and how to reach you. We may ask for more information before acting.
7 Privacy and data protection
7.1 Privacy information. Our Privacy Policy and Cookie Notice explain how we use personal information and your rights. Accepting these terms is not consent to marketing. Clause 9.6 does not limit your right to complain to the Information Commissioner’s Office (ICO).
7.2 Business processing. Where we process gallery personal data for a Business account, the business is the controller and we are its processor; a business acting for another controller must be authorised to appoint us as a sub-processor. Our Data Processing Addendum, supplied with these terms, forms part of the contract for that processing on acceptance without a separate signature and takes priority for conflicts about it. We remain controller for our own account, billing, security, moderation and legal administration.
8 Disclaimers and limitation of liability
8.1 Availability. We provide the Service with reasonable care and skill but do not guarantee uninterrupted or error-free access, and will take reasonable steps to fix problems.
8.2 Consumers. For consumers, we are responsible for foreseeable loss caused by our breach of these terms or failure to use reasonable care and skill, but not for loss you could reasonably have avoided. Keeping your own copies does not remove our responsibility for our own failures.
8.3 Business customers. For business customers only, subject to clause 8.4 and applicable law, we are not liable for indirect or consequential loss or loss of profits, revenue, business or opportunity. Our total liability to a business customer for all claims arising in any 12 months is limited to the greater of £500 and the fees it paid us in the 12 months before the event giving rise to the claim. This does not affect individuals’ statutory data-protection rights or a regulator’s powers.
8.4 Rights that cannot be excluded. Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability or consumer right that cannot lawfully be excluded or limited.
9 Termination changes and disputes
9.1 Ending the Service. You can ask support to close your account. Ending a subscription does not close it, and we do not close accounts for inactivity. Closing an account removes its information and Content, subject to the lawful retention in our Privacy Policy.
9.2 Custom domains. A disconnected custom domain stays reserved to your account on our platform for 12 months, subject to verified transfer through support. We do not acquire ownership of your domain.
9.3 Our termination. We may end the Service for a serious or unresolved breach of section 3. If we stop a paid service for other reasons, we will give reasonable notice and a chance to download your Content where practicable, and refund any unused prepaid amount.
9.4 Changes to these terms. New terms may apply to future purchases. Changes to an existing contract need a valid reason, such as legal, security or service requirements. For material changes that disadvantage you, we will give advance notice and a reasonable chance to end the affected service first, except where urgent legal or security action is needed.
9.5 Complaints and governing law. Send service or billing complaints to support@photoupload.app. We will provide information about alternative dispute resolution where the law requires. These terms are governed by the law of England and Wales, and business disputes are subject to its courts. Consumers keep the mandatory protections, and access to the courts, of where they live. If any part of these terms is unenforceable, the rest still applies.
9.6 Data-protection complaints. Email privacy@photoupload.app or write to the address in section 10. We will acknowledge your complaint within 30 days, investigate without undue delay, keep you informed and tell you the outcome. You can also complain to the ICO at ico.org.uk/make-a-complaint/ or another competent supervisory authority. If your complaint concerns processing for a business, we will help direct it there and assist under the DPA.
